Terms and Conditions
1. About AlgoQuant
AlgoQuant is the trading name used for AlgoQuant Studio (AQS), AlgoQuant Engine (AQE), AQS Cloud, and related services. These terms form an agreement between you and AlgoQuant when you access or use our website, software, account portal, cloud-connected features, documentation, marketplace or community features.
If you do not agree to these terms, do not use the services. For product, billing, or account support, contact support@algoquantstudio.com. For privacy or legal requests, contact contact@algoquantstudio.com.
2. What We Provide
AlgoQuant provides software and framework tools that allow users to build, orchestrate, backtest, review, and run their own trading strategies. AQS provides visual workflow, review, billing, account, and operational surfaces. AQE is an open-source project under the AlgoQuant umbrella and provides a standalone runtime for code-level strategy development, backtesting, integrations, and live operation.
Use of AQE source code is governed by its published open-source licence where that licence applies. These terms continue to apply to AlgoQuant websites, documentation, hosted services, account portal features, AQS Cloud, marketplace features, community features, support, and any other services we provide around the AlgoQuant products.
We provide the framework and supporting services. We do not provide brokerage services, hold client money, place trades on your behalf as a discretionary manager, or decide which trades your strategy should make.
3. No Financial Advice Or Managed Execution
AlgoQuant does not provide financial, investment, tax, legal, accounting, or trading advice. Nothing in AQS, AQE, AQS Cloud, documentation, marketplace content, community posts, backtest results, examples, templates, or support communications should be treated as a recommendation to buy, sell, hold, or trade any instrument.
You are responsible for deciding whether a strategy is suitable for you, testing it, configuring it, selecting brokers and datafeeds, managing risk, monitoring live operation, and complying with laws, exchange rules, broker terms, and tax obligations that apply to you.
Before deploying any strategy to a live brokerage account or other real-money execution venue, you must rigorously backtest it, validate its assumptions and data quality, test it in a demo or paper account, confirm broker and datafeed configuration, apply appropriate risk controls, and ensure the strategy and surrounding infrastructure are fault tolerant for your intended use. You should not connect a strategy to live brokerage execution unless you are prepared to accept the full financial and operational risk of that deployment.
4. Your Strategies And Local Source Code
Private strategy source code created or used in AQS/AQE is stored locally on your device by default. We do not receive or review your private local strategy source code simply because you use AQS or AQE.
If you connect AQS/AQE to cloud features, AQS Cloud may store records needed to provide those features, such as strategy identifiers, live-session state, server node information, membership entitlements, and operational metadata. This does not transfer ownership of your private strategy source code to us.
You are responsible for backing up local strategy files and protecting credentials, API keys, broker connections, and local data on your device.
5. Marketplace Publishing
Marketplace features may allow users to publish components, templates, connectors, strategy packages, or similar items. If you choose to publish marketplace content, you agree to share the relevant source code or package contents with AlgoQuant so we can review submissions, host or package the item, control distribution and access, support paid sales, and manage purchaser entitlements.
You must only publish content that you have the right to share. You must not publish code or material that infringes another person's rights, contains secrets or credentials, includes malicious code, or violates applicable law. Marketplace access, revenue share, review standards, removal rights, and distribution controls may be governed by additional marketplace terms when those features launch.
6. Community Backtest Sharing
Community features may allow users to post backtest results. If you post a community backtest, you agree to share that backtest result with AlgoQuant so it can be made public and viewable by other users. The underlying strategy source code is not shared as part of the community backtest post unless you separately choose to submit or publish it.
You are responsible for the accuracy, lawfulness, and context of any community content you post. We may moderate, remove, or restrict community content that appears misleading, unlawful, abusive, infringing, unsafe, or inconsistent with the purpose of the community.
7. Accounts, Security, And Acceptable Use
You must provide accurate account information and keep your credentials secure. You are responsible for activity under your account, including cloud strategy records, billing actions, server node configuration, marketplace submissions, and community posts.
You must not use AlgoQuant services to:
- break the law, violate exchange or broker rules, or infringe third-party rights;
- attempt to bypass entitlement, billing, marketplace, or access controls;
- upload malware, secrets you do not have authority to share, or harmful code;
- interfere with service security, availability, or other users;
- misrepresent performance, backtest results, marketplace content, or trading outcomes.
8. Subscriptions, Billing, And Cancellation
Paid AQS Cloud subscriptions are processed through Stripe. Prices, plan limits, billing intervals, and included features are shown at checkout or in the billing portal. Taxes, currency conversion, card fees, or bank charges may apply depending on your location and payment method.
You can cancel future renewals through Stripe billing management where available. Unless required by law or approved by support, cancellation does not automatically refund the current billing period. Pro access normally continues until the end of the paid period, after which your membership may return to the Hobby plan.
We may change pricing, plan limits, or features. Where changes affect an active paid subscription materially, we will take reasonable steps to give notice before the change applies.
9. Alpha, Roadmap, And Third-Party Dependencies
Some AlgoQuant features are early alpha, experimental, under development, or roadmap items. Marketplace, private-fund workflows, scheduled deployments, team collaboration, enterprise controls, and similar features may be delayed, changed, limited, or unavailable.
AQS/AQE may depend on third-party brokers, datafeeds, cloud providers, payment providers, databases, operating systems, libraries, and user-managed infrastructure. We are not responsible for third-party outages, rule changes, account restrictions, API changes, market data issues, broker execution, or external infrastructure failures.
10. Optional Performance Tracking
AQS may offer opt-in application performance tracking. If enabled, this information is used internally to improve reliability and performance. It is not used for advertising, not sold, and not shared with third-party analytics providers. You may disable opt-in performance tracking where the application provides that control.
11. Intellectual Property
We own or license the AlgoQuant website, brand, interface, documentation, AQS/AQE product materials, and service content, except for content you own or third-party materials. You may use AlgoQuant products only as allowed by these terms, applicable licences, subscription entitlements, and any additional terms provided with specific software or services.
You retain rights in your own private strategy code and content, subject to any licence you grant by publishing marketplace content, posting community content, or otherwise submitting material to us.
12. Availability, Liability, And Changes
We aim to provide reliable services, but we do not guarantee uninterrupted availability, error-free operation, compatibility with every environment, or suitability for any particular trading outcome. To the fullest extent permitted by law, AlgoQuant is not liable for trading losses, lost profits, lost opportunities, data loss, strategy failure, broker execution issues, user errors, negligent configuration, inadequate testing, infrastructure failures, unexpected market events, or indirect or consequential losses arising from your use of the services.
You accept that live trading decisions, broker connections, account configuration, risk settings, strategy code, deployment timing, monitoring, and intervention remain your responsibility. AlgoQuant is not responsible for losses caused by your strategy logic, live deployment choices, operational mistakes, failure to test on a demo account, failure to maintain fault tolerance, third-party service behaviour, or market conditions outside our control.
Nothing in these terms excludes liability that cannot be excluded under applicable law. We may update these terms as our products, services, billing, marketplace, community features, or legal requirements change. Continued use after changes take effect means you accept the updated terms.
13. Governing Law And Contact
These terms are intended for use in the United Kingdom and should be interpreted under applicable UK law, with AlgoQuant operated from Scotland. If a dispute cannot be resolved informally, the appropriate UK courts may have jurisdiction depending on your location, the nature of the dispute, and applicable consumer or business rules.
